End User License Agreement
Effective date: August 17, 2026
This End User License Agreement (“Agreement”) governs your use of The Velvet Room website at velvetroombethesda.com, related online forms, and the venue’s staff software that connects to Intuit QuickBooks for Private Event estimates (together, the “Services”). By using the Services, you agree to this Agreement. If you do not agree, do not use the Services.
1. Who we are
The Services are provided by The Velvet Room, 8020 Norfolk Avenue, Bethesda, Maryland 20814 (“Velvet Room,” “we,” “us”).
2. License
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the public website and forms for personal, non-commercial guest purposes (for example, viewing menus, requesting a table, or submitting a Private Event inquiry).
Authorized Velvet Room staff may use the password-protected CRM and QuickBooks connection solely to operate the venue, manage events, and create or view Private Event estimates. That staff license is not sublicensable and ends when employment or access is revoked.
You do not acquire any ownership of our software, branding, menus, photography, or other content.
3. Accounts and access
CRM and QuickBooks connection features are for authorized staff only. You must keep login credentials confidential. We may suspend access that we believe is unauthorized, abusive, or insecure.
4. Private Event inquiries
Submitting a Private Event inquiry is a request, not a confirmed booking and not a payment. Starting rates shown on the website are estimates. Final pricing, staffing, food, and beverage packages are confirmed by The Velvet Room. We may accept, decline, or propose changes to any inquiry.
If we create a QuickBooks estimate from your inquiry, QuickBooks remains the pricing authority after that estimate exists. Invoices and payments, if any, are issued through QuickBooks or another method we specify — not automatically at form submission.
5. Reservations and third parties
Table reservations may be processed by Toast or another partner. Their terms apply to that booking flow. Map embeds, fonts, and similar third-party services have their own terms.
6. Acceptable use
You may not:
- Scrape, overload, reverse engineer, or disrupt the Services.
- Submit false, misleading, or unlawful information.
- Attempt to access staff systems without authorization.
- Use the Services to harass staff or other guests.
- Copy our content for commercial use without written permission.
7. Alcohol and venue rules
The Velvet Room is a cocktail lounge. We may refuse service, entry, or event hosting consistent with law and house policy, including age verification.
8. Intellectual property
All site content, the Velvet Room name, and related marks are owned by us or our licensors. Limited viewing on the website does not grant a broader license.
9. Disclaimer
THE SERVICES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that third-party reservation or payment tools will always be available.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE VELVET ROOM AND ITS OWNERS, STAFF, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PUBLIC WEBSITE OR AN INQUIRY FORM WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100). Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed.
11. Indemnity
You agree to indemnify and hold harmless The Velvet Room from claims arising out of your misuse of the Services or your breach of this Agreement, except to the extent caused by our willful misconduct.
12. Privacy
Our Privacy Policy describes how we handle personal information and is incorporated by reference.
13. Termination
We may stop offering any part of the Services or terminate this license at any time. Sections that by nature should survive (including intellectual property, disclaimers, liability limits, and indemnity) will survive.
14. Governing law
This Agreement is governed by the laws of the State of Maryland, without regard to conflict-of-law rules. Courts located in Maryland will have exclusive jurisdiction, except that we may seek injunctive relief anywhere to protect our rights.
15. Changes
We may update this Agreement by posting a new version with a revised effective date. Continued use after posting constitutes acceptance.
